General Terms and Conditions
CND Computer + Network Division AG

1. Scope
These General Terms and Conditions (GTC) govern the contractual relationships between CND Computer + Network Division AG (hereinafter "CND") and its customers for all services and products offered.
Deviating or supplementary terms of the customer apply only if they have been expressly recognised by CND in writing.
2. Services provided by CND
CND provides services in particular in the areas of IT infrastructure, operation, support, engineering, software development, IT security and related IT services in accordance with the individual agreement, offer or contract.
The specific scope of services follows from the contractual documents agreed in each case.
3. Conclusion of contract
A contract is concluded through:
- written confirmation of an offer by the customer, or
- conclusion of an individual contract, or
- the customer's use of a service.
4. Prices and payment terms
Unless otherwise agreed, the prices set out in the offer or contract apply.
All prices are exclusive of value added tax.
Invoices are to be settled without deduction within the agreed payment period. In the event of late payment, CND reserves the right to claim default interest as well as further legally permissible costs.
5. Customer's duties to cooperate
The customer undertakes to provide all information, access and cooperation required for the provision of services in a timely and complete manner. Delays or additional expenses due to insufficient cooperation are not borne by CND.
6. Liability
CND is liable exclusively for damages caused by intentional or grossly negligent conduct, to the extent permitted by law.
Liability for indirect damages, consequential damages, lost profit or data loss is excluded, to the extent permitted by law.
7. Warranty
CND provides its services according to recognised technical standards and with due diligence. A guarantee of a particular economic or technical outcome is not assumed unless expressly agreed.
8. Data protection
The processing of personal data takes place in accordance with the applicable privacy policy of CND Computer + Network Division AG. This is available on the website.
9. Confidentiality
Both parties undertake to treat confidential information that becomes known in the course of the collaboration as confidential and not to disclose it to third parties, unless there is a legal obligation to disclose.
10. Amendments to the GTC
CND reserves the right to amend these GTC at any time. The respective current version published on the website applies.
11. Applicable law and place of jurisdiction
Swiss law applies exclusively.
The place of jurisdiction is the registered office of CND Computer + Network Division AG, unless mandatory legal provisions provide otherwise.
